What are you buying or selling?

What is the price and how is payment to be made?

What happens if things go wrong?

Is the deal time critical?

In what circumstances might you want to pull out of the contract?

Are there any brand, copyright or other intellectual property issues?

Is there a payment, performance or enforcement risk?

Are you dealing on standard terms?
